ELENA
TAY YOKE INN, LLB (HONS), Notary Public / Commissioner of Oaths Elena is the Executive
Director of Pacific Law Corporation. She graduated from the Faculty of Law of
the National University of Singapore in 1987 and was called to
the Singapore Bar in 1988 and has been in private practice since. Elena has
experience in vast areas of practice in Conveyancing and real
estate work, project financing, corporate and commercial transactions,
landlord and tenancy matters, immigration matters, estate and
probate matters, family law and general civil litigation. The scope handled by her includes: Conveyancing and real
estate work - Acting for various banks
and financial institutions, the CPF Board and both retail and corporate
clients in property purchases and
financing relating to private, HDB and JTC residential, commercial and
industrial properties, property sales, property development and
financing transactions, involving rendering of legal advice on different
aspects of the transactions, negotiations on the terms and conditions,
drafting of the various contracts like the Facility Agreements, Sale &
Purchase Agreements, Options To Purchase, bank security documents
such as Deeds of Assignments, Guarantees, Letters of Undertaking and
Indemnity, etc. dealing with foreign law firms and seeking foreign legal
opinion on borrowers and guarantors from China, India, Myanmar, etc. Project financing,
Corporate and Commercial transactions - Acting for various banks and
financial institutions, retail and corporate clients in developments of
residential properties, warehouse and workers dormitories and has rendered
legal advice on the application of developers’ licences, approvals from
various governmental departments, Building Construction Contracts, HDB and
JTC Leases, Agreements for Lease, Licence Agreements,
different forms of Assignments and other loan securitization documents such
as Deed of Charge and Assignment, Deeds of Covenants and Charge,
Debentures, Assignment of Receivables or Specific receivables relating to
multi-million dollar loans granted for the purchase of
vessels together with banking facilities involving import line, letters of
credit, foreign exchange line, trust receipts, etc. Elena has also
represented individual and corporate clients including government –owned
companies in joint ventures, both local and cross-borders, mergers
and acquisition and company share sales transactions involving REITs and
public listed companies. Her experience in this area of practice
includes drafting of Joint-venture Agreements, Shareholders’ Agreement,
Investment Agreements, Share Sale Agreements, Call and Put Options,
Share Subscription Agreements, Agreements for the sale and purchase of
businesses and assets, Service Agreements, Guarantees,
Distributorship and Agency agreements, Franchise Agreements, Licence
Agreements, Film Co-Production Agreements, etc. Elena has also been involved in
the copliance of the Whitewash procedure under
Section 76 of the Companies Act, in the alteration of Memorandum and Articles of
Association, reduction of share capital of companies, etc. Elena started her own
sole proprietorship in 1992 which expanded into a medium-sized partnership
over the years. Pacific Law Corporation
was incorporated under her
leadership in 2005. The firm has been on the panel of a number of banks and
on the CPF Board’s Panel of Conveyancing Lawyers since 2002 and
has established an experienced team of conveyancing lawyers and staff
specializing in CPF work. Elena also regularly acts for foreign clients
from China, Indonesia, India, Taiwan and Hongkong. Besides English and
Cantonese, Elena has a strong command of Mandarin and is able to
read and write Chinese proficiently. Elena has been a member of the Conveyancing Practice
Committee of the Law Society of Singapore from 2009 – 2011 and was involved
in the amendments to the
Conveyancing and Law of Property (Conveyancing) Rules (‘CLP Rules’) and its
implementation as well as in the amendments to the Housing Developers Rules and to the Conditions of Sale 2012. |
